1. Program Overview

The OUPES UPS 1200 & UPS 1800 Referral Program (the "Program") allows eligible participants ("Referrers") to share a unique referral link or code with friends ("Referred Friends").

When an eligible Referred Friend makes a qualifying purchase of an OUPES UPS 1200 or UPS 1800 through the referral link or code:

• The Referred Friend receives 5% off the eligible purchase.

• The Referrer earns a 5% cash commission on the qualifying purchase.

All discounts and commissions are subject to the eligibility requirements and conditions outlined below.

The Program is available through the official OUPES website at oupes.com.

2. Eligibility

2.1 Referrer Eligibility

To participate as a Referrer, you must:

• Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.

• Provide accurate registration and contact information.

• Use a valid referral link or code issued through the official OUPES Referral Program.

• Comply with these Terms and all applicable laws.

2.2 Referred Friend Eligibility

To qualify for the 5% referral discount, the Referred Friend must:

• Be a new OUPES customer making their first qualifying purchase.

• Purchase an eligible OUPES UPS 1200 or UPS 1800.

• Use a valid referral link or code as instructed before completing checkout.

• Be a genuine customer who is not the Referrer or an account controlled by the Referrer.

2.3 Eligible Products

This Program applies only to qualifying purchases of:

• OUPES UPS 1200

• OUPES UPS 1800

Other OUPES products, accessories, and purchases outside the eligible product selection do not qualify.

Product bundles, kits, and multi-product orders are eligible only if expressly identified as qualifying offers by OUPES.

2.4 Additional Restrictions

Self-referrals, duplicate accounts, and purchases made to artificially generate referral rewards are not permitted.

OUPES may request reasonable information to verify eligibility and prevent fraudulent activity.

3. Referral Discounts, Commissions & Payment

3.1 Reward for Referred Friends — 5% Off

Eligible Referred Friends receive a 5% discount on their qualifying purchase of an OUPES UPS 1200 or UPS 1800.

The discount must be applied using the valid referral link or code in accordance with the checkout instructions.

The referral discount:

• Is available to eligible new customers only.

• Has no cash value and cannot be exchanged for cash.

• Cannot be transferred, sold, or assigned to another person.

• Applies only to eligible products and purchases.

• May not be combined with other offers unless expressly permitted at checkout or in the applicable promotion terms.

3.2 Reward for Referrers — 5% Cash Commission

For each qualifying purchase completed by a Referred Friend, the Referrer earns a cash commission equal to 5% of the eligible purchase amount.

For purposes of this draft, the eligible purchase amount means the actual amount paid for qualifying UPS products after discounts, excluding taxes, shipping charges, and refunded or canceled amounts.

Commissions are earned only on verified, qualifying purchases. Creating a referral link or sharing it with a friend does not, by itself, qualify for a commission.

3.3 Commission Processing

Subject to successful order verification and the absence of a pending cancellation, return, refund, or suspected fraud, eligible commissions will be processed within 15 calendar days after the Referred Friend's order is marked as delivered.

Commission processing and the date funds become available in the recipient's account may differ due to payment-provider processing times.

3.4 Payment Method

Cash commissions will be paid through PayPal.

Referrers are responsible for providing accurate payment information and maintaining a PayPal account that can receive the payment.

OUPES is not responsible for delays caused by incorrect payment details, payment-provider restrictions, or circumstances outside its reasonable control.

3.5 Reward Confirmation

OUPES may notify Referrers by email or through their referral dashboard when a qualifying commission is approved, processed, or paid.

Commission status may be updated if the associated order is canceled, returned, refunded, or otherwise found ineligible.

4. Social Sharing Guidelines

4.1 Permitted Sharing

Referrers may share their unique referral links or codes through personal communication channels, including:

• Text messages

• Email

• Personal social media accounts

• Direct messages

• Other lawful, non-spam personal communications

4.2 Accurate Representation

Referrers must accurately describe the Program and its rewards.

Referrers must not:

• Misrepresent the discount, commission, or eligibility requirements.

• Claim to be an official OUPES employee, representative, or authorized partner without permission.

• Use OUPES trademarks, logos, or other brand materials in a misleading or unauthorized manner.

• Promise additional discounts or rewards that OUPES has not approved.

4.3 Prohibited Promotion Methods

Unless OUPES has provided prior written authorization, Referrers may not promote referral links through:

• Paid advertising campaigns

• Coupon aggregation or deal-posting websites

• Cashback or third-party commission websites

• Unsolicited bulk email, text messages, or spam

• Automated referral distribution or misleading promotional methods

Referral links must be shared in compliance with applicable advertising, privacy, and electronic communication laws.

5. Fair Use & Anti-Abuse Policy

The Program is intended for genuine personal referrals and legitimate purchases.

The following activities are prohibited:

1. Creating fake or duplicate accounts to generate referral rewards.

2. Referring yourself through another email address, account, or identity.

3. Using bots, scripts, or automated systems to create accounts, submit referrals, or generate purchases.

4. Making artificial, fraudulent, or unauthorized purchases.

5. Manipulating payment information, identities, or referral tracking to obtain rewards improperly.

6. Posting referral links on prohibited third-party platforms.

7. Engaging in any other activity intended to bypass the Program's eligibility rules.

OUPES may review relevant information, including account activity, referral patterns, device information, payment details, and shipping information, to investigate potential abuse, subject to applicable privacy laws.

Shared IP addresses, devices, or shipping addresses may prompt additional review but do not automatically establish fraud.

Where OUPES reasonably determines that a referral violates these Terms, it may:

• Reject or invalidate the referral.

• Withhold or cancel associated discounts or commissions.

• Suspend or terminate the participant's access to the Program.

• Recover improperly paid commissions where permitted by law.

OUPES may request additional verification before releasing a reward.

6. Order Cancellations, Returns & Refunds

6.1 Canceled Orders

If a Referred Friend's qualifying order is canceled before fulfillment or otherwise fails to qualify, the associated referral commission will not be paid.

6.2 Full Returns or Refunds

If a qualifying order is fully returned or refunded, the associated referral commission will be canceled or reversed.

6.3 Partial Returns or Refunds

If only part of an eligible order is returned or refunded, OUPES may recalculate the commission based on the remaining eligible purchase amount.

6.4 Previously Paid Commissions

If a commission has already been paid and the associated purchase is later refunded, reversed, or determined to be ineligible, OUPES may offset the corresponding amount against future commissions or seek repayment through lawful means.

6.5 Discount Adjustments

Refunds for purchases made with referral discounts will be calculated in accordance with the applicable OUPES return and refund policies and the actual amount paid.

8. General Terms

8.1 Program Changes

OUPES may modify, suspend, or discontinue the Program, including its eligibility rules, discounts, or commission rates, subject to applicable law.

Material changes will be communicated through the official OUPES website or other appropriate channels. Changes will not retroactively reduce rewards already earned on qualifying transactions unless required by law or necessary to correct fraud or error.

8.2 Program Suspension or Termination

OUPES may suspend or terminate a participant's access to the Program for violations of these Terms, fraudulent conduct, or other legitimate reasons, subject to applicable law.

8.3 No Guarantee of Rewards

Referral commissions are subject to verification and are payable only for qualifying purchases that meet the requirements of these Terms.

8.4 Taxes

Referrers are responsible for any taxes that may apply to commissions they receive. OUPES may request tax information or provide tax reporting where required by law.

8.5 Privacy

Personal information collected in connection with the Program will be handled in accordance with the OUPES Privacy Policy and applicable privacy laws.

8.6 Applicable Law

These Terms are subject to applicable consumer protection, advertising, privacy, and other mandatory laws. Any governing-law or dispute-resolution provisions must be interpreted consistently with those requirements.

8.7 Contact and Interpretation

Questions regarding these Terms may be submitted to OUPES Customer Support. OUPES will administer the Program and resolve eligibility and reward questions reasonably and consistently with these Terms and applicable law.

8.8 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
